Which should I buy, the Zi8 Kodak, or the Flip Ultra HD?

I want a video camera for video projects from school and the random video clip with my friends. What could make this better? My camera needs three things: 1) good video quality 2) Excellent audio quality (not I can bear to listen to a lot of white noise, this is probably the most important feature, since both chambers appear to have similar video quality) 3) Easy upload to Youtube, or computers in general. They seem to be in the same price range, however, if you had a video camera that works best for more money, please tell me. My budget is $ 300, but do not see a video camera in the range of $ 200 – $ 300 that have not gotten terrible reviews. So tell me, Zi8, Flip, or other? Thanks for your help! : D
